Terms of Service
Contractual terms governing access to and use of the Aurimen platform under a Time-Limited Service Licence.

1. Introduction
These Terms of Service ("Terms") govern access to and use of the Aurimen software platform, public websites, application interfaces, and related professional services (collectively, the "Service") operated under the Aurimen brand at https://aurimen.io and https://app.aurimen.io.
Aurimen provides a professional workflow platform that structures professional review, preserves documented reasoning, supports recurring review, collaboration, governance, and reviewability. Aurimen does not provide legal, accounting, tax, or regulatory advice; does not certify compliance; does not guarantee institutional acceptance; does not predict institutional decisions; and does not replace professional judgement.
These Terms form a binding agreement between you (an individual user or the organization you represent) and the operator of the Service ("Aurimen", "we", "us"). Related notices appear in the Privacy Policy, Cookie Policy, Refund Policy, and Disclaimer. Those documents do not replace these Terms.
2. Definitions
For purposes of these Terms:
- "Account" means a registered user identity used to authenticate to the Service.
- "Customer" means the organization or individual that owns or controls a Workspace and purchases a Time-Limited Service Licence.
- "Customer Data" means information submitted to or stored in a Workspace by or on behalf of the Customer, including questionnaire responses, case materials, comments, and uploaded files.
- "Generated Reports" means structured professional documentation, report snapshots, and related outputs produced through the Service for a Workspace.
- "Audit Records" means system-generated workflow, access, certification, and operational records maintained to support reviewability and platform integrity.
- "Licence Period" means the defined period during which selected paid service capabilities are active under a Time-Limited Service Licence.
- "Time-Limited Service Licence" means a non-exclusive, non-transferable right to use selected Service capabilities for a Licence Period, purchased for a defined commercial term. It is a licence, not a recurring subscription.
- "Workspace" means the multi-tenant firm or practice container in which Accounts, roles, cases, entitlements, and review records are organized.
- "Authorized User" means an individual permitted by the Customer to access a Workspace or a specific case under an assigned role.
3. Acceptance of Terms
By creating an Account, accessing the Service, configuring a Workspace, inviting Authorized Users, or purchasing a Time-Limited Service Licence, you accept these Terms.
If you accept on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, you must not use the Service.
4. Eligibility
The Service is intended for professional and business use by advisors, firms, business owners, reviewers, and authorized collaborators acting in a professional capacity.
You must be legally capable of entering a binding agreement and must use the Service in accordance with applicable law and your firm's professional obligations. The Service is not directed to children.
5. Account Registration
Access to the application requires Account registration. Authentication is provided through the Service's identity provider using email and password credentials. Optional multi-factor authentication may be available and is recommended for professional Workspace use.
You must provide accurate registration information, keep credentials confidential, and promptly notify Aurimen of suspected unauthorized access. You are responsible for activity conducted through your Account, except where you have notified Aurimen of unauthorized use and Aurimen can reasonably verify that notice.
Workspace administrators and owners remain responsible for inviting, assigning, and removing Authorized Users, and for ensuring role assignments reflect firm policy.
6. Workspace Ownership
Each Workspace is a distinct operational container. A Workspace has an owner Account and may include Authorized Users with roles such as administrator, advisor, senior reviewer, or entrepreneur (business-owner participant), as implemented in the product.
The Customer controlling the Workspace determines membership, role assignments, case invitations, branding settings where entitled, and commercial configuration for that Workspace.
Case-level access may be granted to invited participants without full Workspace membership. Cross-Workspace access is not part of the standard customer model.
Aurimen does not become a party to the professional relationship between the Customer, Authorized Users, and their clients.
7. Time-Limited Service Licence
Aurimen sells a Time-Limited Service Licence. Aurimen does not sell auto-renewing subscriptions.
A Time-Limited Service Licence grants access to selected service capabilities for a defined Licence Period, according to the review practice, capacity, and commercial term confirmed at purchase.
This commercial model is a licence for a defined period. It is not a recurring subscription, not a continuous billing arrangement, and not an automatically renewing commercial term.
Selected capabilities may include, depending on the purchased configuration: structured report production, collaborative review functions, professional review workflow elements, branding where entitled, and timestamped evidence or completion artefacts where entitled.
Professional output production requires confirmed payment before activation of paid production capabilities, except where a limited trial or demonstration mode expressly permits exploration without production entitlements.
8. Licence Period
The Licence Period is the commercial term selected and confirmed at purchase. Available periods depend on the plans offered at checkout and may include periods such as three (3) months, six (6) months, or twelve (12) months, or other periods expressly offered.
The Licence Period, included review capacity, review practice configuration, and applicable fees are stated in the checkout confirmation and reflected in Workspace entitlement records.
During an active Licence Period, entitled paid capabilities remain available subject to capacity limits, these Terms, and lawful use. Capacity for new professional outputs is tied to the purchased configuration for that Licence Period.
9. Permitted Use
Subject to these Terms and an active entitlement where required, you may use the Service to:
- Create and operate Workspaces for lawful professional review workflows.
- Invite Authorized Users and collaborate within assigned roles.
- Collect questionnaire inputs, document review reasoning, and generate structured professional documentation.
- Preserve review history, snapshots, and completion artefacts according to product functions and retention rules.
- Export or download available records through functions provided in the Service.
10. Prohibited Use
You must not:
- Use the Service for unlawful purposes or in violation of professional, confidentiality, or data-protection obligations applicable to you.
- Attempt to circumvent authentication, entitlement, capacity, or Workspace isolation controls.
- Interfere with platform integrity, security, availability, or other customers' Workspaces.
- Upload content you lack rights to process, or content that is unlawful, harmful, or misleading.
- Misrepresent Generated Reports or Audit Records as legal advice, accounting advice, tax advice, regulatory advice, compliance certification, bank approval, or institutional decisions.
- Resell, sublicense, or provide the Service as a competing hosted platform except under a separate written agreement with Aurimen.
- Scrape protected areas, reverse engineer the Service except where mandatory law permits, or probe systems beyond authorized security research coordinated with Aurimen.
11. Professional Responsibility
Aurimen supports professional workflow. It does not replace professional judgement.
Users and their firms remain solely responsible for decisions, conclusions, documentation quality, client communications, submissions to institutions, licensing, and regulatory obligations applicable to their practice.
Human responsibility always remains with qualified professionals. Structured outputs and workflow steps do not transfer accountability to Aurimen.
Where multiple roles collaborate in a Workspace, the Customer remains responsible for ensuring that role permissions and review practices align with firm policy.
12. Reports and Professional Review
Aurimen generates structured professional documentation. Generated Reports support professional review and preserve documented reasoning.
Generated Reports do not constitute legal advice, accounting advice, tax advice, or regulatory advice. They do not constitute institutional decisions, bank approvals, compliance certifications, or predictions of institutional outcomes.
Report versions, review comments, clarification workflows, and stamped or certified archives (where entitled) document completion of structured review steps. They do not certify that a file meets any external regulatory or institutional standard.
The Service does not perform autonomous professional decision-making. Workflow progression, comments, certification actions, and submissions remain under human control.
13. Data Ownership
Customer Data. As between you and Aurimen, the Customer retains ownership of Customer Data. Aurimen does not claim ownership of Customer Data solely by virtue of hosting or processing it.
Aurimen Software. Aurimen and its licensors retain all rights in the software, interfaces, systems, and underlying technology of the Service.
Generated Reports. Generated Reports are produced for the Customer's professional use. Subject to Aurimen's retained rights in software, methodology presentation, templates, and branding elements embedded in outputs, the Customer may use Generated Reports for its internal professional purposes and lawful client engagements. Aurimen does not acquire ownership of the substantive Customer Data reflected in those reports.
Audit Records. Aurimen may create and retain Audit Records necessary to operate, secure, and evidence the integrity of the Service. Audit Records remain part of the Service's operational fabric; they are not a grant of ownership of Customer Data to Aurimen.
You grant Aurimen a limited licence to host, process, transmit, display, and back up Customer Data and related outputs solely to provide, secure, support, and improve the Service for your Workspace, and to comply with law.
Personal data processing is further described in the Privacy Policy. Security practices are summarized on the Security page. Those pages do not expand Aurimen's ownership claims over Customer Data.
14. Intellectual Property
Aurimen retains all intellectual property rights in the Service, including software, methodology presentation, documentation, website content, trademarks, logos, and brand materials, except for Customer Data as described above.
No rights are granted except the limited rights expressly conferred by a Time-Limited Service Licence and these Terms. You may not use Aurimen branding in a manner that implies endorsement, partnership, or regulatory certification without prior written permission.
Feedback you voluntarily provide may be used by Aurimen to improve the Service without obligation to you, provided such use does not publish Customer Data or attribute confidential information to you without consent.
15. Availability
Aurimen aims to maintain reliable availability of the Service but does not guarantee uninterrupted or error-free operation. Maintenance, infrastructure events, and force majeure may affect access.
Unless a separate written service-level commitment is agreed for an enterprise arrangement, no specific uptime percentage is promised in these Terms.
16. Third-Party Services
The Service depends on third-party providers for functions such as authentication and hosting infrastructure, payment processing, email delivery, and document rendering. Current operational descriptions appear on institutional pages such as Security and FAQ.
Payment processing is handled through a third-party payment provider. Aurimen does not store full payment card details on Aurimen systems when payments are processed by that provider.
Third-party services are subject to their own terms. Aurimen is not responsible for third-party outages or policies beyond Aurimen's reasonable control, except to the extent liability cannot be limited under applicable law.
17. Fees and Payments
Fees for a Time-Limited Service Licence are determined by the configuration confirmed at checkout, including review practice, capacity, Licence Period, and any enterprise terms agreed in writing.
Fees are due as presented at checkout. Charges are processed through the designated payment provider. Currency and tax treatment are as stated at checkout or in a separate commercial agreement.
Aurimen does not apply automatic renewal charges and does not operate continuous recurring billing under these Terms. A new purchase is required to obtain a new Time-Limited Service Licence after the Licence Period ends, or to reactivate paid capabilities.
Unless required by applicable law, or expressly stated in an order confirmation or separate written agreement, fees paid for a Time-Limited Service Licence are non-refundable once the Licence Period has commenced or paid capabilities have been activated.
Included review capacity is tied to the purchased Licence Period. The Service does not apply hidden overage charges; when capacity for new professional outputs is exhausted, new production pauses until a further commercial arrangement is confirmed.
18. Licence Expiry
At the end of the Licence Period, the Time-Limited Service Licence expires automatically.
There is no automatic renewal. There is no automatic billing. Active paid capabilities stop according to the implemented product behaviour for the Workspace.
Workspace access remains available according to the implemented product behaviour. Historical information, existing reports, documentation, and review history remain accessible according to the retention policy and available export functions.
A new Time-Limited Service Licence purchase is required to reactivate paid capabilities and resume new professional-output production.
Existing professional records remain subject to the retention arrangements described in the Privacy Policy, applicable Workspace configuration, contractual terms, and legal requirements. Availability after Licence expiry also depends on the implemented product behaviour and available export functions.
19. Termination
You may stop using the Service at any time. Stopping use does not automatically entitle you to a refund of fees paid for an active or completed Licence Period, except where required by law or expressly agreed in writing.
Aurimen may suspend or terminate access for material breach of these Terms, security risk, unlawful use, fraudulent payment activity, or misuse that threatens platform integrity, after reasonable notice where practicable.
Upon termination or expiry, sections that by their nature should survive — including professional responsibility, data ownership distinctions, intellectual property, disclaimers, limitation of liability, and applicable law — remain in effect.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Aurimen is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, goodwill, or business opportunity, arising from use of the Service.
To the maximum extent permitted by applicable law, Aurimen's aggregate liability arising out of or relating to the Service or these Terms shall not exceed the total fees paid by the Customer to Aurimen for the Time-Limited Service Licence(s) giving rise to the claim during the twelve (12) months preceding the event. Where no fees were paid, Aurimen's aggregate liability is limited to the maximum extent permitted by applicable law.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct where such exclusion is prohibited.
21. Disclaimers
The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. Aurimen disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where such disclaimer is not permitted.
Without limiting the foregoing, Aurimen does not:
- Guarantee banking acceptance, account opening, financing, or any institutional outcome.
- Guarantee onboarding with any bank, partner, or reviewing institution.
- Guarantee institutional outcomes, regulatory acceptance, or compliance results.
- Certify compliance with regulatory, tax, corporate, or other external requirements.
- Replace professional review, licensed advice, or firm quality control.
- Provide regulated professional advice of any kind, including legal, accounting, tax, regulatory, investment, or banking advice.
- Operate as a bank, law firm, accounting firm, regulator, or certification body.
- Perform autonomous institutional decision-making or predict institutional decisions.
22. Changes to the Service
Aurimen may improve, modify, or discontinue features of the Service to maintain security, reliability, and professional fitness. Material reductions in paid capabilities during an active Licence Period will be handled reasonably, including through notice where practicable or commercial adjustment where appropriate.
Enterprise arrangements may include additional change-management commitments in a separate written agreement.
23. Changes to these Terms
Aurimen may update these Terms from time to time. The current version will be published on this page with an updated date.
For material changes affecting an active Time-Limited Service Licence, Aurimen will provide notice through the Service or by email where practicable. Continued use after the effective date constitutes acceptance of the updated Terms, except where mandatory law requires a different process.
24. Applicable Law
These Terms are governed by the laws applicable to the operator of the Service, without regard to conflict-of-law rules that would require application of another jurisdiction's laws.
Courts with competent jurisdiction over the operator's principal place of business shall have jurisdiction over disputes arising from these Terms, unless mandatory law requires otherwise for a particular party.
If any provision of these Terms is held unenforceable, the remaining provisions continue in full force. These Terms, together with any order confirmation for a Time-Limited Service Licence and any separate written commercial agreement, constitute the agreement regarding the Service. In case of conflict, a signed enterprise agreement prevails over these Terms for the conflicting subject matter only.
